Annual Renewal Reminder

As 2020 comes to a close, this is a reminder for all business to file their annual renewal with the Minnesota Secretary of State if they have not done that yet this year. If you filed a business with the Minnesota Secretary of State including a Certificate of Assumed Name, Minnesota Business Corporation, Non-Profit Corporation, Limited Liability Company, Limited Liability Partnership, Limited Partnership, or another business in the past, you must file a renewal once a year in order for your business to not be “statutorily dissolved.” If your entity has been statutorily dissolved, it means that the state may not recognize your business as existing.

A dissolved business may be retroactively reinstated by filing a renewal and paying a fee, as long as the name is still available.

The following are the steps to file your Annual Renewal:

  • Create an account here or login.
  • Go to the Business Filing Online page on the Secretary of State’s website and find your business. If your business is inactive, you will have to reinstate your business.
  • Click Details.
  • Select “File Amendment/Renewal”.
  • Choose your renewal from the list and complete the required information.
  • Review and submit the filing.
  • If you must make a payment, that can be done by clicking on the “Go to US Bank” button. Your renewal may not require any payment.
  • When the Secretary of State’s office has processed your filing, they will email you a link that will take you to their website where you can download a copy of your filing. This filing will only be available for 90 days; therefore, make sure that you retain a copy for your records.

Operating any business is a complicated process. Our attorneys are here to help guide you along the way. If you have questions regarding your business or would like to learn more, contact our office or book an appointment online to schedule an initial consultation.
