As 2020 comes to a close, this is a reminder for all business to file their annual renewal with the Minnesota Secretary of State if they have not done that yet this year. If you filed a business with the Minnesota Secretary of State including a Certificate of Assumed Name, Minnesota Business Corporation, Non-Profit Corporation, Limited Liability Company, Limited Liability Partnership, Limited Partnership, or another business in the past, you must file a renewal once a year in order for your business to not be “statutorily dissolved.” If your entity has been statutorily dissolved, it means that the state may not recognize your business as existing.
A dissolved business may be retroactively reinstated by filing a renewal and paying a fee, as long as the name is still available.
